1. Agreement to Terms

By accessing or using the Axiom Automation website and services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

2. Services Description

Axiom Automation provides AI automation consulting, implementation, and support services. Our services include but are not limited to AI strategy consulting, workflow automation, chatbot development, and ongoing system optimization. Specific deliverables and scope will be defined in individual service agreements.

3. Use of Website

You agree to use our website only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the website in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the website or systems
• Transmit any malicious code, viruses, or harmful content
• Interfere with the proper functioning of the website
• Collect or harvest any information from the website without permission

4. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of Axiom Automation or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Client Deliverables: Upon full payment, clients receive ownership of custom deliverables created specifically for them, excluding our proprietary tools, frameworks, and methodologies which remain our property.

Pre-existing IP: Any intellectual property that existed prior to our engagement, or that we develop independently, remains the property of its original owner.

5. Acceptable Use

You agree not to use our services or any deliverables for:

• Any unlawful purpose or in violation of any applicable laws
• Harassment, abuse, or harm to any person or entity
• Distribution of malware, spam, or fraudulent content
• Infringing on the intellectual property rights of others
• Any activity that could damage our reputation or business interests

6. Service Agreements

Engagement of our consulting and implementation services requires a separate service agreement that will outline specific terms, deliverables, timelines, and fees. These Terms and Conditions apply in addition to any service agreement, but in case of conflict, the service agreement shall prevail.

7. Payment Terms

Payment terms for services will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of receipt. We reserve the right to suspend services for overdue accounts.

8. Cancellation and Refunds

Cancellation and refund terms are as follows:

• Before Project Start: Full refund of any deposits paid
• During Project: Payment required for work completed to date; remaining balance refunded
• Subscription Services: Cancel anytime with no refund for the current billing period

Cancellation requests must be submitted in writing. We reserve the right to terminate services for breach of these Terms with no refund.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This obligation shall survive the termination of any service agreement.

10. Limitation of Liability

To the maximum extent permitted by law, Axiom Automation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from our services shall not exceed the fees paid by you for the specific services giving rise to the claim.

11. Disclaimer of Warranties

Our website and services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. While we strive to deliver high-quality results, we do not guarantee specific business outcomes from our AI implementations.

12. Indemnification

You agree to indemnify, defend, and hold harmless Axiom Automation and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our website or services, or your violation of these Terms.

13. Termination

We reserve the right to terminate or suspend access to our website and services at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

14. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved as follows:

• Informal Resolution: We encourage you to contact us first to attempt to resolve any disputes informally within 30 days
• Mediation: If informal resolution fails, parties agree to attempt mediation before initiating formal proceedings
• Binding Arbitration: Unresolved disputes shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association

You agree to waive any right to participate in class action lawsuits against us.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Except for disputes subject to the arbitration provisions above, any legal actions that cannot be resolved through arbitration shall be resolved in the federal or state courts located in the United States.

16. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under these Terms if such failure or delay results from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, power failures, or internet outages. The affected party shall promptly notify the other party of such circumstances and make reasonable efforts to mitigate the impact.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by updating the "Last updated" date. Your continued use of our website after changes constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
